ODGE MEDIA Ltd – Terms & Conditions
1. Definitions
- “ODGE” refers to ODGE MEDIA Ltd, registered in England and Wales.
- “The Client” is the party commissioning the services.
- “The Project” includes all services and deliverables from pre-production to final output.
- The “Statement of Work” (SOW) sets out the brief, schedule, deliverables, and pricing.
2. Agreement and Scope
- Work is delivered as outlined in the SOW.
- Any changes must be agreed in writing and may affect cost and timelines.
- Invalid clauses do not affect the remaining terms.
3. Client Obligations
- Provide one primary point of contact.
- Supply a clear brief, timely feedback, and approvals.
- Secure permissions for all locations, contributors, and release forms.
- Use ODGE templates if needed but remain responsible for collecting and storing signed documents.
4. Fees and Payment
- Total cost, deposit, and balance are listed in the SOW.
- The deposit is non-refundable and due immediately to confirm the booking.
- The deposit can be applied to a rescheduled project if booked within 30 days.
- The balance may change if the project scope changes.
- The balance is invoiced on the final day of filming or on project completion.
- All non-deposit invoices have a 30-day payment term.
- Deliverables are released once the balance has cleared.
- Extra services such as travel, overtime, and additional edits are chargeable when they fall outside the scope outlined in the SOW.
- Late payments may incur interest.
5. Cancellation and Rescheduling
- Cancellation within 48 hours: 50% of the remaining fee.
- Cancellation within 24 hours: 100% of the remaining fee.
- ODGE may reschedule if conditions are unsafe.
- The client covers any extra costs caused by delays, reshoots, or third-party issues when these arise due to the client’s actions, decisions, or failure to provide required information or access.
6. Production and Delivery
- A filming day is 10 hours including a one-hour lunch break.
- Two rounds of revisions are included.
- Extra revisions or format changes are chargeable.
- Additional deliverables outside the SOW incur extra fees.
7. Ownership, Rights, and Licensing
- ODGE retains all rights until full payment is made.
- Once paid, the client receives usage rights as outlined in the SOW.
- ODGE may use the work in its portfolio unless agreed otherwise.
- Third-party licensing requirements are confirmed in advance.
- Access to raw footage must be pre-agreed and may include fees.
8. Creative Control and Warranties
- Creative direction follows the SOW and any agreed pre-production assets, including but not limited to mood boards, scripts, pitch decks, and storyboards where appropriate.
- Key approvals are required from the client.
- ODGE cannot guarantee outcomes such as increased sales or engagement.
9. Insurance and Liability
- ODGE carries public liability insurance.
- ODGE is not liable for indirect losses or damages beyond the project fee.
- ODGE is not responsible for force majeure or third-party failures.
10. Confidentiality & NDAs
- All confidential information shared for the purpose of delivering the project is protected and only used as required.
- If the project involves sensitive or confidential material, ODGE will review and sign a client-provided NDA when needed.
- Confidential information covered by an NDA or provided during the project will not be shared outside the scope of the work.
11. Indemnity
- The client indemnifies ODGE for any claims, damages, or losses arising from materials, permissions, or information supplied by the client.
- The client agrees to reimburse authorised third-party licensing costs.
12. Credits and Promotion
- ODGE may show the project in its marketing unless agreed otherwise in writing.
- Behind-the-scenes content may be captured and used unless declined.
- Credit to ODGE should be provided where appropriate.
13. Archive Storage
- Footage is stored for 18 months and then deleted.
- Retrieval or extended storage may incur fees.
14. Data Protection
- ODGE complies with UK GDPR and the Data Protection Act 2018.
- Data is processed according to the Privacy Policy.
15. Variation
- We may update these terms at any time.
16. Force Majeure
- ODGE is not liable for delays caused by events outside its control.
17. Governing Law and Jurisdiction
- These terms follow English law.
- Disputes are handled by English courts.
18. Entire Agreement
- These terms and the SOW form the full agreement between ODGE and the Client.
- Acceptance of the quote sent with the SOW confirms agreement to the SOW and these terms.
