Terms & Conditions

1. Definitions

  • “ODGE MEDIA” refers to ODGE MEDIA Ltd, registered in England & Wales.
  • “The Client” is the party commissioning the services.
  • “The Project” includes all services and deliverables, from pre-production to final output.
  • The “Statement of Work” (SOW) details the brief, schedule, creative materials, and pricing.

2. Agreement & Scope

  • Projects are delivered as set out in the SOW.
  • Changes must be agreed in writing and may incur extra fees.
  • Invalid clauses do not affect the enforceability of the remaining terms.

3. Client Obligations

  • Have one designated contact for all communication.
  • Provide a clear brief, prompt feedback, and approvals. 
  • Secure all necessary permissions.
  • Ensure safe and timely access for production.
  • Indemnify ODGE MEDIA against issues arising from materials provided by the client.

4. Fees & Payment

  • Payments typically split: 50% non-refundable deposit, 25% upon completion of production and 25% balance upon delivery.
  • Late payments may incur interest.
  • Extra services (outside of the SOW) such as travel, overtime, and additional edits are chargeable.

5. Cancellation & Rescheduling

  • Cancellation within 48 hours: 50% of remaining fee.
  • Cancellation within 24 hours: 100% of remaining fee.
  • We may reschedule due to unsafe conditions.
  • You are responsible for any additional costs arising from delays, reshoots, or changes caused by your team, location, or third-party suppliers.

6. Production & Delivery

  • Standard filming day is 10 hours including a one-hour lunch break, starting from the call time.
  • The project includes two rounds of revisions. Any further changes will be subject to additional charges.
  • Additional edits and format changes are charged separately.

7. Ownership, Rights & Licensing

  • Until payment is made in full, all rights to the content remain the property of ODGE MEDIA. Once paid, the client is granted full usage rights of the deliverables as outlined in the SOW.
  • We may use work in our portfolio unless agreed otherwise.
  • Licensing for third-party content is clarified in advance where required.
  • The client receives the final edited deliverables. If access to raw footage is required, this must be discussed and may be subject to additional licensing or fees.

8. Creative Control & Warranties

  • We follow the direction outlined in the SOW to shape the creative approach.
  • Client approval required on key stages.
  • While we aim to create high-quality, effective content, the impact on sales, engagement, or other metrics depends on a range of factors beyond our control.

9. Insurance & Liability

  • We carry public liability insurance.
  • ODGE MEDIA is not responsible for indirect losses, missed opportunities, or damages beyond the value of the agreed project fee.
  • We are not responsible for force majeure or third-party issues.

10. Confidentiality

  • Confidential information is protected and shared only as needed to complete the Project.

11. Indemnity

  • You indemnify us for any claims linked to materials supplied by you.
  • You agree to reimburse any authorised third-party licensing costs.

12. Credits & Promotion

  • We may showcase the Project in our marketing unless you request otherwise.
  • Credit to ODGE MEDIA should be provided where appropriate.

13. Archive Storage

  • Footage is stored for 18 months without charge and is then deleted.
  • Retrieval or extended storage may involve fees.

14. Data Protection

  • We comply with UK GDPR and the Data Protection Act 2018.
  • Data is handled as outlined in our Privacy Policy.

15. Non-Disclosure Agreements (NDAs)

  • If the project involves confidential or sensitive material, where required, we’ll review and sign a client-provided NDA to formalise the confidentiality between both parties.
  • All confidential information is protected and not shared outside the scope of the Project.

16. Variation

  • Changes to these Terms must be agreed in writing by both parties.

17. Force Majeure

  • We are not liable for delays due to events beyond our control.

18. Governing Law & Jurisdiction

  • These Terms are governed by English law.
  • Disputes are handled by English courts.

19. Entire Agreement

  • These Terms and the SOW form the full agreement between you and ODGE MEDIA.
